Tyler D. Williams

Tyler joined the firm in 2005 after graduating from The American University Washington College of Law in Washington, D.C.   Tyler advises and represents clients across a wide range of business law issues.  He concentrates his practice in the areas of business formation, corporate governance, and business and commercial transactions, including mergers and acquisitions and commercial real estate.

For the first several years of his practice, Tyler’s work was focused primarily on litigation and litigation management, representing business clients in matters throughout the United States.  This background in commercial dispute resolution gives him a unique insight into the transactional and corporate governance work that is currently his focus – having seen how a transaction can go wrong helps him anticipate ways to protect his clients’ business interests.

Tyler’s transaction work has included representing buyers and sellers in stock and asset acquisitions and divestitures; representing the lender in several private investment and loan transactions involving follow-on warrants and profit participation rights; representing the buyer in the acquisition of distressed assets (including real estate) of a seller in bankruptcy; and representing parties to merger transactions. Tyler assisted with the analysis of due diligence related to the merger of Bradco Supply Corporation into ABC Supply Co., Inc. in 2010. He also assisted in the representation of ABC Supply in the buyout of its minority shareholders and the related financing (see Firm news).

Tyler assists businesses and individuals in the formation of new corporations and limited liability companies in jurisdictions throughout the United States.  He routinely advises business clients in a general counsel capacity and has assisted business clients with the preparation and updating of handbooks, policies, and best-practice initiatives.

Tyler is fluent in both written and spoken Romanian.
